Terms of Service for Pilot and Business Customers

1. Provider, scope and audience

The provider is yawusa UG (haftungsbeschränkt), Schliemannstraße 23, 10437 Berlin, Germany. These terms govern the website and individually agreed pilot and software services of tender-agents.com. The offering is directed exclusively at businesses, legal entities under public law and special funds under public law — not at consumers. Deviating provisions in an individual offer or contract take precedence over these terms.

2. Services and pilot status

The service collects notices from the public sources identified in the product, filters them against configured profiles and provides matches, original sources, fit reasons, go/no-go aids, exports and any features enabled for the account. Source coverage and data freshness are disclosed in the product. Portals, integrations and notification channels that are not yet live are not owed. Pilot features may change during the joint trial phase.

3. No substitute for procurement review

Results and scores are working aids. The service guarantees neither completeness across all procurement platforms nor eligibility, award chances or timely participation. The original notice, the procurement documents and the contracting authority's communications always prevail. The customer reviews deadlines, eligibility, requirements and bid documents on their own responsibility. Legal advice is not part of the service.

4. Contract formation and prices

The website, price overview and contact forms are not a binding offer. Online checkout is currently disabled. A paid contract only comes into existence through an individual offer and its acceptance, or a separate agreement. Displayed prices are net of applicable VAT unless stated otherwise.

5. Access and authorised users

Customer accounts are approved by the provider. Login is via a magic link sent to an authorised business email address. The customer keeps that email account secure, limits access to authorised persons and reports suspected misuse without undue delay. Internal administrators may view the customer tenant in a clearly marked preview for support and pilot purposes.

6. Customer obligations

The customer provides accurate profile, reference and eligibility details, reviews matches and keeps settings up to date. The customer uploads only files and data they are entitled to have processed. Abusive automation, circumvention of technical limits, sharing of access credentials and unlawful content are prohibited.

7. Term, fees and termination

Term, pilot end, fees, billing period and termination follow the individual offer. Absent a deviating agreement, a free pilot does not automatically convert into a paid contract. Statutory rights of extraordinary termination remain unaffected.

8. Availability and changes

A specific availability level is owed only where expressly agreed. Maintenance, security measures and disruptions or changes of external procurement sources may temporarily limit the service. Material changes to a paid scope of service will be communicated in good time.

9. Data protection and processing agreements

The privacy policy applies. Where the provider processes personal data on the customer's behalf, the parties conclude a data processing agreement pursuant to Art. 28 GDPR before that processing begins.

10. Liability

The provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory statutory provisions. For slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded.

11. Final provisions

German law applies. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Berlin. Amendments and supplementary agreements require at least text form unless mandatory law requires another form.
